Service Delivery Agreement

SERVICE DELIVERY AGREEMENT

This service delivery agreement is intended as a legally binding agreement between Webs-Pro ("we", "us", "our") and client ("you"). Webs-Pro reserves the right, at its discretion, to change, modify, add, or remove portions of this service delivery agreement at any time.

Trial

  • Webs-Pro provides a 7-day free website trial
  • The website will be ready in approximately 10 minutes upon sign-up
  • Webs-Pro will send the website access information to the client

  • The trial does not include these features:

    • Domain name
    • VPS hosting
    • Scheduled backup
    • Monthly maintenance report
    • Premium dashboard plugins
    • Custom email
    • Isolated hosting

Delivery Timeline

  • After the trial ends and the client's first payment is complete, Webs-Pro will deliver the actual website in 2 days under normal circumstances
  • Webs-Pro will migrate the client's content from the trial website to the actual website
  • However, some circumstances may impede Webs-Pro from delivering on time

  • They may include, but not limited to:

    • A spike in orders
    • Delay caused by third-party providers
    • Delay in receiving essential inputs from the client

Domain Name

  • Webs-Pro offers free domain name for the first year
  • Client has to pay for renewal charges of the domain name
  • Free domain name is only available for these domain extensions: .com, .net, .org, and .info
  • Upon client’s request, Webs-Pro can transfer his/her domain name to the registrar of his/her choice
  • Client can change domain name of his/her website at a later time with cost incurred

Web Hosting

  • Webs-Pro will provide hosting service for the client’s website

  • Webs-Pro uses VPS for website hosting, with the following specs:

    1 GB Memory
1 Core Processor
40 GB SSD Disk
2 TB Transfer

  • Mumbai and Sydney have lower data transfer allowances:

    1 TB
  • Webs-Pro will charge client for the bandwidth and storage overages
  • Client can opt to upgrade his/her hosting plan at an additional charge

Server Location
  • Client can choose the server location of his/her website
  • Client should choose a server location near to his/her targeted visitors to reduce latency and improve page load time

  • Server locations are available in: 

    Singapore
Tokyo
Sydney
Seoul
Canada
Frankfurt
London
Paris
Ireland
Mumbai
Oregon
Ohio
Northern Virginia
  • To change server location of a website at some point, it incurs a charge

TLS/SSL Certificate

  • Webs-Pro will provide the TLS/SSL certificate to serve client’s website over HTTPS

Website

  • When making an order, the client has to choose a preferred demo theme
  • Webs-Pro will deliver a website for the client with the same look and feel as the chosen demo theme
  • However, some circumstances will result in discrepancies between the delivered website and the demo theme

  • They may include, but not limited to:

    • Copyrighted materials such as images and logos
    • Availability of software such as themes and plugins
  • The website is accessible by the client’s chosen domain name

Website Dashboard

  • Webs-Pro will provide a website dashboard for the client
  • The website dashboard is accessible from the client’s chosen domain name
  • The dashboard allows the client to manage his/her website
  • Client agrees to grant the rights for Webs-Pro and its third party service providers to sign in to his/her dashboard to carry out maintenance tasks

Website Management and Content

  • Client has to manage and create the content for his/her website on his/her own

  • They may include, but not limited to:

    • Logo changes
    • Design changes
    • Branding
    • Content
    • Articles
    • Posts
    • Media files
    • Forms
    • Mailing list
    • Taglines and slogans
    • Copywriting
    • Marketing
    • Advertising
  • Webs-Pro is not liable to create any of these content for the client

Email

  • Webs-Pro will help the client set up a custom email at the client’s domain
  • This is optional
  • The client has to pay for the SMTP service on a pay-per-use basis

Subscription and Payment

  • Webs-Pro provides the website on a subscription basis
  • One website per subscription
  • Client can buy more than one subscription
  • Webs-Pro uses third party payment processor Stripe to collect client’s payment
  • Webs-Pro does not store any client’s payment information
  • The subscription is available in these billing cycles: 3 months, 6 months and 12 months
  • Client has to pay at the start of each billing cycles
  • Webs-Pro will let the client know when payment failure occurs, and the client is responsible to react and resolve the issue
  • Failure of a client to make prompt payment will cause termination of website

Refund

  • Webs-Pro does not offer refund
  • Client is responsible to make sure the services offered by Webs-Pro meet his/her specific requirements before the payment

Support

  • Webs-Pro will give 1 month support to client starting from the delivery date of website
  • The support aims to teach and guide client on the usage and features of the website
  • Webs-Pro expects the client to handle the website on his/her own after the 1-month support period

Termination of Service

  • Client can terminate his/her website by writing a request email to Webs-Pro
  • An ultimate confirmation from the client will result in the takedown of his/her website

  • As part of the takedown, Webs-Pro will:

    • Remove all the data of the website
    • Terminate the hosting service for the website
  • Client should know that the termination is a non reversible action

Intellectual Property Rights

  • Webs-Pro owns the intellectual property of the website provided to the client

  • They include but not limited to:

    • Themes
    • Templates
    • Designs
    • Plugins
    • Media files
    • Taglines and textual content

  • However, they do not include client’s generated content, such as:

    • Pages
    • Posts
    • Media files
    • Textual content

  • Clients and third parties may not:

    • Transfer the website to another web hosting
    • Resell the website
    • Use the themes and plugins on another website
    • Clone the website
    • Use any part of the website on another website for profit or non-profit purpose

Limitation of Liability

  • Client agrees to indemnify and hold Webs-Pros harmless against any claims of loss or damage arising from the delivery of the service
  • By using Webs-Pro website service, client represents and warrants that he/she is managing the content of his/her website responsibly and legally. Webs-Pro does not allow websites with illegal content such as but not limited to pornography, piracy, phishing, scam, drug, file sharing, bit torrent, and copyright infringement. Webs-Pro reserves the right to terminate a client’s website, subscription and account at once with or without notice to the client and with no liability to him/her or any third party
  • In the event of dispute, Webs-Pro reserves the right to make the final decision.
